PTA Set to Announce Final Decision on Ufone-Telenor Merger Today

Mar 11, 2026 | Current Affairs

The Pakistan Telecommunication Authority (PTA) is expected to formally announce its decision on the high-profile merger between Ufone 4G and Telenor Pakistan today. The announcement follows a slight delay from earlier this week to accommodate a mandatory meeting between the regulator and Hatem Bamatraf, President and Group CEO of PTCL and Ufone 4G.

Final Regulatory Hurdle: The ‘Merger Authority’ Meeting

Under established legal procedures, PTCL management must meet with the PTA’s merger authority for a final review before the verdict is made public. Sources indicate that:

  • Meeting Schedule: The discussion is taking place today at the PTA Headquarters.
  • Immediate Disclosure: The minutes of the meeting are expected to be recorded and issued the same day, immediately followed by the formal communication of the merger decision.
  • Completed Reviews: The PTA has already finalized its technical, legal, and competition-related assessments, focusing on market concentration and spectrum distribution.

Consolidation and the 5G Era

The timing of the decision is strategically linked to the 5G Spectrum Auction, which was held earlier this week (March 9–10). In a major development:

  • Spectrum Win: Pak Telecom Mobile Limited (PTML), operating as Ufone, successfully acquired significant 5G spectrum (180MHz across the 2600MHz and 3500MHz bands).
  • The ‘MergeCo’ Vision: This newly acquired spectrum is intended to benefit the combined entity, tentatively called “MergeCo,” which will serve over 70 million customers.
  • Market Shift: If approved, the merger will reduce Pakistan’s mobile operators from four to three, creating a massive digital platform that combines Telenor’s rural footprint with Ufone’s urban infrastructure.

What it Means for Consumers

While the regulatory process moves toward completion, Telenor and Ufone continue to operate as separate legal entities.

  • SIM Status: Telenor users do not need to replace their SIM cards.
  • Service Quality: The merger aims to utilize the PTCL fiber-optic backbone to reduce call drops and significantly improve 4G/5G data speeds once the networks are integrated.
  • Liabilities: All consumer balances, Easypaisa accounts, and reward points are being fully honored under the transition roadmap.

“The integration of networks following our merger with Telenor Pakistan will allow us to deploy 5G at scale, empowering millions of customers with advanced digital tools.” — Official Statement from PTML.

SECP and Court Sanctions

Once the PTA issues its No-Objection Certificate (NOC), the transaction will move to the next phase of legal approvals:

  1. SECP Clearance: Filing for corporate and financial clearance.
  2. Court Approval: Seeking final endorsement of the Scheme of Arrangement from the High Court, a process expected to take several weeks.
